An assignment sale transfers your off-plan Sale and Purchase Agreement to a new buyer before handover, they take over the remaining payment schedule and the developer relationship, and you exit before the building completes. It is legal, common in Dubai under Law No. 13 of 2008, and entirely dependent on three things: your paid-in threshold, the developer's NOC, and a buyer at your price. This guide covers the mechanics, the full cost stack, a net-proceeds worked example, and the Abu Dhabi differences most guides skip.
Key takeaways
- Article 6 of Dubai Law No. 13 of 2008 lets you sell, mortgage or dispose of a unit while it sits in the Oqood interim register, that is the legal basis of assignment.
- Developers commonly require 30–40% of the price paid before issuing a no-objection certificate; your SPA is the only authoritative source.
- Budget the full cost stack: 4% DLD transfer fee, developer assignment/NOC fee, ~2% agency commission, plus admin.
- A developer NOC typically carries ~30-day validity, line up your buyer before applying.
- In Abu Dhabi, assignment is possible but the buyer pool is thinner; price and timeline expectations must adjust accordingly.
What an assignment sale actually is
Your off-plan purchase in Dubai lives in the Interim Real Property Register (Oqood) until completion, when it converts to a title deed. While it is in Oqood, what you own is the contractual position, the right to receive the unit against the remaining payment schedule. An assignment sale sells that position. Your buyer steps into the SPA exactly as it stands: same unit, same remaining instalments, same handover date. Your name comes off the register; theirs goes on. The developer relationship transfers with the contract, which is why the developer's consent, the NOC, sits at the centre of the process.

The three gates: threshold, NOC, transfer
Gate 1, paid-in threshold. Most developers require 30–40% of the contract value paid before approving a transfer; some premium or waterfront projects set higher bars to limit contract flipping. Two buyers in the same tower can hold different thresholds if they bought at different launch stages. Confirm yours in writing from the developer's transfer desk before doing anything else.
Gate 2, the developer NOC. Once the threshold is met, the developer issues a no-objection certificate authorising the transfer. It typically carries around 30 days of validity, so sequence correctly: agree terms with a funded buyer first, then apply for the NOC. An expired NOC mid-process usually means reapplying and paying again.
Gate 3, DLD/Oqood transfer. The transfer is processed through the Dubai Land Department's trustee channels, the 4% transfer fee is applied to the resale price, and the Oqood record is updated to the new buyer.
The full cost stack, and a net-proceeds worked example
| Cost line | Typical basis | On a AED 2,000,000 resale |
|---|---|---|
| DLD transfer fee | ~4% of resale price | AED 80,000 |
| Developer assignment/NOC fee | Developer-set, flat or % | AED 5,000–20,000 (illustrative; confirm) |
| Agency commission | ~2% where a broker sourced the buyer | AED 40,000 |
| Oqood/admin charges | Small fixed items | AED 2,000–5,000 |
Who pays what is negotiated between seller and buyer, but it all comes out of the same economic pie, so model the full stack whoever nominally bears it.
Worked seller example. You bought at AED 1,800,000, have paid 40% (AED 720,000) plus the 4% DLD fee at purchase (AED 72,000), and agree an assignment at AED 2,000,000.
| Line | Amount |
|---|---|
| Assignment price | AED 2,000,000 |
| Buyer assumes remaining SPA balance (60%) | AED 1,080,000 |
| Cash from buyer to you | AED 920,000 |
| Your capital returned | −AED 720,000 |
| Agency commission (~2%, seller side) | −AED 40,000 |
| Developer NOC/assignment fee (illustrative) | −AED 10,000 |
| Net cash gain | ≈ AED 150,000 |
| Return on AED 792,000 total cash deployed | ≈ 19% |
The AED 200,000 "paper uplift" becomes ~AED 150,000 in hand, and the buyer must also absorb their 4% DLD fee on AED 2,000,000, which is why negotiated fee splits matter. Note your original DLD fee is sunk: it never comes back, and it is why assignments at small premiums often lose money.
Pricing an assignment: what your buyer is comparing
Your real competition is the developer's remaining unsold stock and every other resale in the building. Price against:
- The developer's current price for comparable units, your ceiling. If the developer still sells similar layouts at AED 1.95M with an incentive-laden payment plan, your AED 2.0M ask is dead on arrival.
- Your paid-in percentage, a buyer taking over a contract with 50% paid and a light remaining schedule has a smaller cash commitment than buying new; that is worth a premium to cash-constrained buyers.
- Time to handover, a unit six months from keys attracts end users, not just investors, widening the pool.
- Developer delivery record, a proven developer supports a firm price; a delayed one forces a discount.
- Your timeline, if you must complete this quarter, price to the market, not to your hopes.

Where a mortgage changes the process
A financed unit adds your lender to the transaction. The outstanding balance must be cleared from sale proceeds at completion, or the buyer's financing must satisfy your bank's position directly, with your bank, the developer and the buyer's lender all signing off before DLD processes the transfer. Start the bank conversation before you list, not after you find a buyer; it adds weeks that an unmortgaged assignment does not carry, and it must fit inside the NOC validity window.
An illustrative client scenario (composite, anonymised, not a specific transaction): a seller we advised earlier this year had paid 45% into a unit repriced roughly 12% above his launch price and wanted to list immediately at "purchase price plus the gain." Two checks changed the plan. First, the developer still held unsold identical layouts with a fresh incentive package, his real ceiling was below his ask. Second, his buyer pool at that ticket was investors only, and investors price against net yield, not his cost. We repriced to sit just under the developer's effective net price, verified the buyer's funding before applying for the NOC, and the transfer completed inside the 30-day validity window. His net was smaller than his spreadsheet had promised and larger than a stalled listing would ever have delivered. Download the Proof of ConceptAbu Dhabi assignments: the part everyone leaves out
Abu Dhabi permits assignment of off-plan contracts under its own framework (Law No. 3 of 2015 and ADREC regulation), but three practical differences matter:
- Thinner buyer pool. Abu Dhabi's secondary off-plan market is materially smaller than Dubai's. Expect longer time-on-market, model months, and price accordingly.
- Lower transfer friction. Abu Dhabi's 2% registration fee (versus Dubai's 4%) makes the buyer's all-in cost lower, which is a genuine selling point you should put in the listing conversation.
- Developer-by-developer terms. Modon, Aldar and Q Holding each set their own paid-in thresholds and NOC processes. Get the specific terms in writing before listing, assumptions imported from Dubai will mislead you.
The overseas seller: POA, repatriation and tax at home
Selling remotely is routine: a notarised and attested power of attorney lets your representative sign transfer documents, and proceeds can be wired to your home account, keep the full paper trail (SPA, payment receipts, NOC, transfer documents) for your bank's compliance queries. Remember the tax event happens at home: the UAE takes nothing from your gain, but India, the UK and the US generally tax their residents/citizens on it. Set aside the liability when the funds land, not when your adviser asks a year later.
Who actually buys an assigned contract
| Buyer type | Fit | What they care about |
|---|---|---|
| Yield investor | Strongest fit for most assignments | Remaining payment schedule, entry price vs comparable stock, rent at handover |
| End user | Best near handover | Completion certainty, specification, liveability |
| Cash buyer | Fastest to transact | Clean paperwork, quick NOC, net-price negotiation |
| Mortgage buyer | Slower but common | Bank approval timeline inside your NOC validity |
| Developer follower | Often the quickest match | Already researched the project; compares you to current developer pricing |
A unit with a clean payment history, a realistic handover date and a proven developer finds a buyer fastest. If any of the three is in doubt, price for the doubt rather than hoping the market ignores it.

The realistic timeline
| Stage | Typical duration |
|---|---|
| Confirm threshold + SPA terms with developer | 1–2 weeks |
| List and secure a buyer | 2 weeks–3 months (market-dependent) |
| Buyer funding verification | 1–4 weeks |
| NOC issuance | 1–2 weeks |
| DLD transfer completion | Days, once NOC is in hand |
| Total, unmortgaged | Roughly 6–16 weeks |
Where deals actually stall, in our experience: buyer funding that was "confirmed" verbally but not documented, a NOC applied for before terms were agreed (forcing a paid re-application), and service-charge balances the seller forgot had to be cleared before the developer would issue anything. All three are avoidable with the checklist above, and all three surface in the final two weeks, when the NOC clock is already running.
Expert view from Bramwell & Partners "The assignments that complete cleanly share one trait: the seller confirmed their threshold, NOC terms and net proceeds before listing, and priced against what the developer still had left to sell. The ones that drag are priced against the seller's purchase price plus a wish. We run the net-proceeds model first, tell you honestly whether the market supports your number, and, if it doesn't, whether holding to handover produces the better outcome. Sometimes the best assignment is the one you don't do.", Bramwell & Partners advisory team
Frequently asked questions
Can I legally sell my Dubai off-plan property before handover?
Yes. Article 6 of Law No. 13 of 2008 permits disposing of units registered in the Oqood interim register, executed via developer NOC and a DLD transfer. Your SPA may add conditions, so read it first.
How much must I have paid before I can assign?
Commonly 30–40% of the contract value, but the binding figure is in your SPA and varies by developer and phase. Get it in writing from the developer's transfer team.
What does an assignment cost in total?
Model roughly 6%+ of the resale price across the 4% DLD fee, ~2% agency commission, developer NOC/assignment charge and admin, split between buyer and seller by negotiation. Price around net proceeds, not headline uplift.
How long is the developer NOC valid?
Typically around 30 days. Apply only once you have a buyer under agreement with verified funding, or you risk reapplying and repaying the fee.
Can I assign a mortgaged unit?
Yes, but your lender's position must be cleared or transferred with all parties' sign-off. It adds weeks to the timeline; engage your bank before listing.
Is assignment possible in Abu Dhabi too?
Yes, under Abu Dhabi's own legal framework and ADREC processes. The buyer pool is thinner than Dubai's, so expect longer sale timelines, offset for buyers by the lower 2% registration cost, which you can use in negotiation.
Will I owe tax on the gain?
Not in the UAE, there is no capital gains tax for individuals. Your home country may tax the gain (US citizens always; UK and Indian residents usually, subject to treaty relief). Confirm with your home-country adviser and reserve the liability at completion.
How we verify this guide
The legal framework cited (Law No. 13 of 2008, Article 6; Abu Dhabi Law No. 3 of 2015) and DLD/ADREC fee schedules are as published and in force as of October 2026. Paid-in thresholds, NOC fees and validity windows are developer-specific, the ranges here reflect common market practice, and your SPA is the only authoritative source. The worked example is illustrative with assumptions stated. Nothing here is a guarantee of returns.
